Setting Up A Limited Company

    View:
So, you are looking forward to setting up your own limited company and are trying to figure out on how to settle the problems arising in a limited company. Before we start up with some of the most essential things that should be taken care off in order to avoid the various problems, let's first try to understand in brief about a limited company.

In general words, a is an organization which has its own identity in the market, has its own bank account for any monetary transaction related to the company and runs business under this name. Just like any person, a limited company can make or lose money, get into debt or make profit and also most importantly pays all its taxes. Thus, it can be also said as a moral person according to the law.

Let's understand about the various detail and documents that are required to get started with your limited company without having to face any problem during this procedure. A few of the very important requirements have been mentioned here below.

1Register your company: the first step that helps you to start up your limited company without any problems is to get your company registered first. If you think that registering the company by yourself might cause some problem then better take the help from others to register the limited company. Then, decide a name for the company and decide the officers for the company. Keep all the company documents properly in a safe place and then file the right documents related to the company house and then start trading.

2Get into companies house: once you have decided and filled up the registration of the company, you have to now get registered in the company house by paying a specific amount of fee to set up the company. The forms for getting into the company house will guide you slowly through this important procedure of setting up your company. the companies house will primarily have to check if the name you have selected fort he company is being used by someone else also and will then ask you to select a company director and secretary. The person selected as the director has to be certain and confident about all the legal responsibilities of the company. Also, you require the memorandum of association with the Companies house. This is a document which explains the reasons why you have initiated to set the company and the manner in which you intend to run it. The memorandum of association will have all the legal proceedings such as tax etc. in this document itself. Thus, the document is really important.

3Get help from specialists: all this till here seems to be very simple and straight but when the problems arise while running the company you may require the help of specialists. The specialist will guide you to different structures which might directly decrease you tax and also add up a few other conditions to the Memorandum of association. Thus, to avoid unnecessary problems, take the help of specialists.

4Accountant: an accountant will provide a set up package for the company. This package might include the VAT set up, tax registration, bank account referral etc.

5Registration for VAT: the last step in setting up the company is the registration for VAT. Handling the online VAT is easier than the one paper work. To handle the paper work, you will be requiring an accountant, but calculating online is a lot easier.
Setting Up A Limited Company
Go it Alone or Get Support?

The decision is yours. If you have experience in business, you may be comfortable going to Companies House, downloading the forms and completing the process yourself. If not (like most) then you will need some more help and guidance. There are plenty of companies that offer just companies formation and provide guidance through the whole process.

How to Choose Your Company Name

First of all, you will need to choose your name. Be creative and choose a name that both represents your company and will be simple enough for people to remember. For example if you arrange corporate events (and only corporate events) then “Avenue Corporate Events” would be a very suitable name, where as if you are a general events (weddings, parties and corporate events etc) provider then “Avenue Events” might be a more suitable title

How to Check Your Company Name

Ok, so you've chosen “Avenue Events” as your name. You now need to check that no-one else currently trades under it, does not contain any sensitive words or names, (http://www.companieshouse.gov.uk/about/gbhtml/gbf2.shtml#appa) and that it is free for you to register. Companies House (http://wck2.companieshouse.gov.uk and a number of other sites) have a free service that you can use to check this.

OK – it seems that “Avenue Events” is already taken. Good thing we checked! After a few more searches, we find that “Ardent Events” is not taken, so let's register that name.

How to Register Your Company

As you are setting up a limited company, you will need to create some shares. As (we presume) you currently don't have any shares, you will own them all. Set up £1000 worth of shares.

You will also need to set up how many directors (and other types of shareholders) there are (of which you will be one) and how many shares each director/shareholder has. There must be at least one directory and at least one secretary. They cannot be the same person, and at least one must be a shareholder.

Legal Documents

Unfortunately, there are a bunch of legal forms that you have to fill out. They are available at Companies House (http://www.companieshouse.gov.uk/forms/formsOnline.shtml ), or as part of a supported application process with help from other company formation providers.

Now everything is in place; you have your name, your directors, secretaries and shareholders and can pass over your credit card details and can register your new company name.

All you need to provide to a registration company is your company registration forms and your registered office address. You can send these to Companies House yourself or get an online company formation agent to do this for you who may be able to set up your company for you in less than 4 hours and guide you along the process.

What now?

After registering your company, you will need to consider more things than just your name. Where are you going to get your business banking from? Who do you buy your stationery from? How are you going to make money? Will you need a hand with administration from a ‘virtual' secretary or ‘receptionist'? All these things can be vital to the success of your new company, and can be considered in detail now that the fictional “Ardent Events” is in business!
