Four things are very important for all those who want to form a company in the UK. The first thing is Form 10; this contains the intended location of the registered office. It also contains the details of the consenting Secretary and the Director/Directors. Registered office is basically an address used for official correspondence of the company. It has some hard and fast rules attached to it.
If you are to form a company, you have to keep in mind that you cannot have your registered office anywhere in the UK. It should be in England, if the company is situated within its geographical area. Also, it should be in the places approved for the purpose. In case the company is in Wales or in Scotland, the registered office should be somewhere within the jurisdiction of these places.
The next document necessary for company formation is Form 12. This form is about declaration of Compliance with the Companies Act 1985 in connection with the registration. In order to form a company, the applicant must sign this form in presence of a Solicitor, Commissioner for Oaths, Notary Public or Justice of the Peace.
Memorandum of Association is another important thing to be taken care of by the person who wants to form a company in the UK. This is the place where you mention the name of the company, the situation of the registered office (in which place of the UK it is situated), the objects of the company, and its liability.
The last and fourth part of the company formation process in the UK is Article of Association. This looks at the internal management affairs and running of the company. As per company law, each subscriber to the shares must sign this form. In order to company formation in the UK, one needs to take care of all these steps.
